After careful consideration, the Directors resolved on 28 February 2012 to merge or close these Share Classes pursuant to Article 25.1 of the Articles of Incorporation of the Company. The effective date for the merger or closure of the Share Classes is 8 June 2012 (the “Effective Date”).

The net assets of the Henderson Horizon Fund - Industries of the Future Fund (the “Fund”) have fallen to EUR 2.79 million (US$ 3.85 million) at 31 October 2011. This is below the threshold of US$ 25 million at which the Board of Directors of the Company (the “Directors”) are empowered to liquidate the Fund pursuant to Article 28 of the Articles of Incorporation of the Company. After careful consideration, the Directors have concluded that it is no longer economically viable for the Fund to operate and accordingly they resolved that the Fund will be liquidated. The effective date for the liquidation of the Fund is 31 January 2012 (the “Effective Date”).

The Company currently operates base currency share classes and dealing currencies for each of its Sub-Funds. These dealing currencies are not separate share classes but provide a means to invest in a Sub-Fund in a different currency to the base currency. One of the consequences of this is that the dealing currencies do not have their own unique fund identifiers. From 31 October 2011, the current dealing currencies will no longer be available. The shares currently held in the different dealing currencies will be reclassified as unhedged share classes, separate from the base currency classes. There will be no changes to the base currency share classes.
